Terms of Service

Last Updated: September 26, 2026

Welcome to NextlyPack. The terms “NextlyPack,” “we,” “us,” and “our” refer to the operator of this website and the seller identified in the applicable order confirmation, quotation, or invoice.

These Terms of Service (“Terms”) govern your access to and use of our website, online store, products, quotations, custom packaging services, design and proofing services, and related features and services (collectively, the “Services”). Our online store is powered by Shopify.

By accessing the Services, requesting a quotation, placing an order, approving a production proof, or purchasing from NextlyPack, you agree to these Terms together with any policies, quotations, invoices, order confirmations, and written agreements incorporated into your order.

If you do not agree to these Terms, please do not use the Services or place an order with NextlyPack. Nothing in these Terms limits rights that cannot lawfully be excluded or limited.

1. Eligibility, Access & Accounts

You may use the Services only if you have the legal capacity to enter into a binding agreement under the laws applicable to you. If you use the Services on behalf of a company, organization, or other entity, you represent that you are authorized to bind that entity to these Terms.

You may be asked to provide information such as your name, company name, email address, billing information, payment details, shipping address, tax or customs information, and other order-related information.

You agree that information you provide will be accurate, current, and complete. You are responsible for maintaining the confidentiality and security of any account credentials and for activity conducted through your account.

2. Products & Custom Packaging

NextlyPack supplies standard and custom packaging products, including products manufactured according to customer-selected dimensions, quantities, materials, colors, structures, printing, artwork, branding, and finishing requirements.

Because custom packaging is manufactured to order, final products may be subject to reasonable manufacturing tolerances and may not be identical to digital renderings, screen displays, samples from another production batch, or photographs shown on the website.

We may change, improve, replace, discontinue, or limit products, materials, specifications, features, or availability where reasonably necessary. If a material change affects an accepted custom order, we will contact the customer before proceeding whenever approval is reasonably required.

3. Quotations, Orders & Acceptance

A quotation, online price, cart, or checkout submission does not by itself require NextlyPack to accept an order. An order becomes binding when we accept it through an order confirmation, invoice acceptance, written confirmation, commencement of agreed production preparation, or another clear confirmation of acceptance.

We may decline, pause, or cancel an order before production where reasonably necessary, including for pricing or specification errors, unavailable materials, production infeasibility, suspected fraud, legal or regulatory restrictions, shipping limitations, or other legitimate operational reasons.

If we cancel an order for reasons attributable to NextlyPack before production and no non-recoverable work has been completed, amounts paid for the canceled portion will be handled in accordance with the applicable order terms and our Refund & Return Policy.

For custom orders, the product page, formal quotation, approved proof, invoice, order confirmation, and other written order-specific terms form part of the agreement. If an order-specific written term conflicts with these general Terms, the more specific written term will apply to that order.

4. Custom Artwork & Proof Approval

For custom printed or personalized products, production generally begins only after the required customization details have been confirmed and the customer has approved the final artwork or production proof where a proof is provided.

Before approval, you are responsible for reviewing all relevant details, including:

  • Artwork, logos, text, spelling, and fonts
  • Dimensions, quantity, material, and structure
  • Printing position, orientation, and finishes
  • Colors and color references
  • Barcodes, QR codes, contact details, and product information
  • Any other customization or order-specific requirement

Approval of a final proof authorizes us to proceed with production based on that approved information. Errors that were present in customer-supplied or customer-approved artwork generally do not qualify as NextlyPack production defects.

Delays in providing artwork, information, revisions, or proof approval may delay production and delivery.

5. Customer-Supplied Content

You retain ownership of artwork, trademarks, logos, text, images, and other content that you own and provide to us (“Customer Content”).

By submitting Customer Content, you grant NextlyPack and our production and service providers a limited, non-exclusive license to use, reproduce, adapt as technically necessary, transmit, and process that content solely to prepare quotations, proofs, samples, products, quality records, and other services required to fulfill your request or order.

You represent and warrant that you own or have sufficient rights and permissions to use and authorize our use of Customer Content for the requested products and that such use will not infringe the intellectual property, privacy, publicity, or other rights of any third party.

We may refuse content that we reasonably believe is unlawful, infringing, fraudulent, harmful, or otherwise inappropriate for production.

6. Prices, Deposits & Payment

Prices may vary based on quantity, dimensions, material, printing, finishing, shipping method, destination, currency, and other order specifications.

The final price for a custom order will be determined by the applicable product page, checkout, formal quotation, invoice, or order confirmation.

Production generally begins after the agreed initial payment or deposit has been received, typically 50% of the order total, together with confirmation of the required production details and final proof where applicable.

If a different payment arrangement is stated in a quotation, invoice, order confirmation, or written agreement, that payment arrangement will apply.

Any remaining balance must be paid according to the agreed payment terms. Where the order terms require the remaining balance before shipment, we may hold shipment until cleared payment is received.

You agree to provide accurate billing and payment information and represent that you are authorized to use the payment method provided.

Prices, discounts, promotions, and quotations may have stated validity periods and may change for future orders. A later price change does not change the agreed price of an already accepted order unless both parties agree or the order itself permits an adjustment.

7. Production Time

Most NextlyPack custom products have a standard estimated production time of:

7–15 business days

Production time generally begins after the agreed deposit or initial payment has been received and all required product specifications, materials, finishes, artwork, and production information have been confirmed.

Large-volume orders, special materials, unusual structures, complex finishing, custom tooling, peak-season orders, or other highly customized projects may require additional production time.

8. Shipping & Delivery

NextlyPack currently offers the following primary international shipping options:

  • Standard Air Shipping: estimated 10–15 business days
  • Express Air Shipping: estimated 5–7 business days
  • Sea Shipping: estimated 35–40 days

Production time and shipping time are calculated separately. Shipping and delivery estimates are not guaranteed unless an order-specific written agreement expressly provides a guaranteed date.

Actual transit times may be affected by customs, carrier schedules, port or airport congestion, local delivery networks, weather, holidays, inspections, government action, and other circumstances outside our reasonable control.

Additional shipping terms are set out in our Shipping Policy, which forms part of these Terms.

9. Import Duties, Taxes & Local Fees

For most international orders, applicable import duties are included in the NextlyPack product price or formal quotation.

Whether import duties are included will be determined by the product page, quotation, checkout, invoice, or order confirmation.

If an order is marked Duties Included or Import Duties Included, the applicable import duty is included in the amount charged by NextlyPack.

Unless otherwise expressly stated, NextlyPack generally includes import duties only. VAT, Sales Tax, GST, excise tax, customs clearance service fees, declaration fees, customs brokerage fees, storage fees, remote-area surcharges, and other local taxes or government charges are not included unless expressly stated otherwise.

Where local law requires the recipient, purchaser, or importer to pay such charges directly, those amounts are the customer’s responsibility.

10. Cancellations, Returns & Refunds

Most custom products are manufactured specifically for the customer and cannot normally be resold. Cancellation, return, reproduction, replacement, and refund eligibility therefore depends on the stage of the order and the reason for the request.

Once custom materials, plates, dies, molds, proofs, printing, manufacturing, finishing, or other non-recoverable production work has begun, custom orders generally cannot be canceled, returned, or refunded for non-quality-related reasons.

Quality claims, shipping damage, approved refunds, order cancellations, and other remedies are governed by our Refund & Return Policy.

11. Manufacturing Tolerances & Color

Custom packaging may be subject to reasonable production tolerances, including minor differences in dimensions, cutting, folding, print position, registration, material texture, finishing, color, and quantity.

Screen displays and digital proofs may not reproduce printed colors exactly because of differences in RGB/CMYK/Pantone systems, monitors, materials, inks, coatings, lighting, and production processes.

Reasonable variations that do not materially prevent normal intended use are generally not considered manufacturing defects. Product-specific tolerances stated in a quotation, product page, approved proof, or order confirmation will apply where provided.

12. Intellectual Property

The NextlyPack website and Services, including our brand name, trademarks, logos, website design, original text, graphics, photographs, illustrations, layouts, product presentation, and other original materials, are owned by or licensed to NextlyPack and are protected by applicable intellectual property laws.

You may use the website for legitimate business evaluation and purchasing purposes. You may not reproduce, republish, distribute, scrape, commercially exploit, or create derivative works from protected NextlyPack materials without our prior permission, except as permitted by law.

Customer Content remains subject to Section 5. Nothing in these Terms transfers ownership of Customer Content to NextlyPack merely because it is submitted for quotation, proofing, or production.

Unless otherwise expressly agreed in writing, NextlyPack retains its rights in proprietary production methods, generic templates, systems, processes, technical know-how, and pre-existing materials used in providing the Services.

13. Website Content & Product Information

We make reasonable efforts to keep product descriptions, specifications, pricing, availability, images, and other website information accurate and useful. However, website content may contain errors, omissions, outdated information, or differences from the final custom specification agreed for an order.

For a custom order, the final approved specifications in the quotation, proof, invoice, or order confirmation will control over general website illustrations or examples.

14. Third-Party Tools & Links

The Services may include payment providers, shipping tools, tracking services, embedded applications, or links to websites operated by third parties.

Third-party services are governed by their own terms and policies. To the extent permitted by law, NextlyPack is not responsible for the content, availability, security, or independent actions of third-party websites or services that are outside our control.

You should review the applicable third-party terms before using those services.

15. Relationship with Shopify

Our online store is powered by Shopify, which provides the ecommerce technology that enables us to offer the Services online.

Purchases made through the NextlyPack store are transactions between you and NextlyPack, not between you and Shopify. Shopify is not the seller of NextlyPack products and is not responsible for manufacturing, fulfillment, product quality, custom specifications, shipping arrangements, refunds, or other obligations of NextlyPack.

Your use of Shopify-supported features may also be subject to Shopify’s applicable terms and privacy practices.

16. Privacy

Our collection and use of personal information is governed by our Privacy Policy.

Because our online store is powered by Shopify and may use payment, analytics, shipping, customer-service, and other service providers, certain personal information may be processed by Shopify or other providers where necessary to operate the Services and fulfill orders.

17. Reviews, Feedback & Submissions

If you voluntarily submit reviews, comments, suggestions, ideas, or other feedback about NextlyPack or the Services, you grant us permission to use that feedback for legitimate business purposes, including improving and promoting our Services, subject to applicable law and our Privacy Policy.

You must not submit material that is unlawful, misleading, infringing, defamatory, malicious, or contains harmful code.

You remain responsible for the accuracy and legality of content you submit.

18. Errors, Inaccuracies & Corrections

Occasionally, the Services may contain typographical errors, inaccurate pricing, incorrect specifications, availability errors, shipping estimates, or other omissions.

We may correct errors and update information. If a material error affects an order that has already been submitted, we will contact the customer where reasonably necessary before proceeding, or cancel and refund the affected amount where appropriate.

19. Prohibited Uses

You may use the Services only for lawful purposes. You must not use the Services to:

  • Violate applicable laws or regulations
  • Infringe intellectual property or other rights of NextlyPack or third parties
  • Submit fraudulent, deceptive, or unauthorized orders
  • Upload malware, malicious code, or harmful files
  • Interfere with website security or operation
  • Attempt unauthorized access to accounts, systems, or data
  • Harvest or misuse personal information
  • Spam, phish, scrape, crawl, or automate access in a manner that materially burdens or abuses the Services
  • Impersonate another person or business
  • Use the Services for unlawful, abusive, or harmful conduct

20. Suspension & Termination

We may suspend or terminate access to the Services where reasonably necessary to address fraud, unlawful conduct, security risks, material breach of these Terms, nonpayment, abuse of the Services, or legal requirements.

Termination does not eliminate payment obligations or other rights and obligations that arose before termination. Provisions that by their nature should survive termination will continue to apply.

21. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the website and general online Services are provided on an “as is” and “as available” basis.

Except for express written commitments we make for a specific order, we do not guarantee that the website will always be uninterrupted, error-free, or available at all times.

Product remedies for confirmed defects remain subject to our order-specific commitments and Refund & Return Policy. Nothing in this section excludes warranties or rights that cannot lawfully be excluded.

22. Limitation of Liability

To the fullest extent permitted by applicable law, NextlyPack will not be liable for indirect, incidental, special, punitive, exemplary, or consequential losses arising from use of the Services or an order, including lost profits, lost revenue, lost business opportunities, loss of goodwill, or losses resulting from customer-approved errors, except where such liability cannot lawfully be excluded.

For claims relating directly to a particular order, and to the fullest extent permitted by law, NextlyPack’s aggregate liability will generally not exceed the amount actually paid to NextlyPack for the affected products or services giving rise to the claim.

This limitation does not apply where applicable law prohibits such a limitation or where liability results from matters that legally cannot be excluded or limited.

23. Indemnification

To the extent permitted by law, you agree to indemnify and hold NextlyPack harmless from third-party claims, losses, damages, or reasonable costs arising from:

  • Your unlawful use of the Services
  • Your material breach of these Terms
  • Customer Content that infringes third-party intellectual property or other rights
  • Your violation of applicable law or the rights of another person

This section does not require you to indemnify NextlyPack for losses caused by NextlyPack’s own unlawful conduct to the extent such indemnification is prohibited by law.

24. Force Majeure

NextlyPack will not be responsible for delay or failure caused by circumstances outside our reasonable control, including natural disasters, extreme weather, war, civil unrest, strikes, epidemics, government restrictions, customs changes, port closures or congestion, flight cancellations, vessel delays, carrier disruption, utility or network failures, material shortages, or similar events.

We will make reasonable efforts to reduce the impact of such events and resume performance when reasonably possible.

25. General Legal Terms

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

No Waiver

A failure to enforce any provision of these Terms does not waive our right to enforce that provision later.

Entire Agreement

These Terms, together with applicable policies, quotations, approved proofs, invoices, order confirmations, and written agreements, constitute the agreement governing the relevant Services and order.

Assignment

You may not assign an accepted custom order or your material obligations under these Terms without our prior written consent where such assignment would materially affect performance. NextlyPack may assign or transfer its rights and obligations as part of a business reorganization, merger, acquisition, sale, or to an affiliate or successor, subject to applicable law.

Governing Law & Jurisdiction

The governing law and dispute forum for a specific transaction will be determined by the contracting NextlyPack entity, the applicable order documents, and mandatory law. Where a quotation, invoice, order confirmation, or separate written agreement specifies governing law or jurisdiction, that provision will apply.

Headings

Section headings are provided for convenience and do not limit the meaning of these Terms.

26. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, products, operations, technology, legal requirements, or business practices.

The latest version will be published with an updated effective date. Where required by applicable law, material changes will be communicated in an appropriate manner.

Unless otherwise required by law, the version in effect when an order is accepted will generally govern that order, together with its order-specific terms.
